These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer,” “User,” “you,” or “your”) and Searchify.IO (“Searchify.IO,” “Company,” “we,” “us,” or “our”) governing access to and use of Searchify.IO’s websites, applications, software, tools, APIs, analytics platforms, and all related services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

If you are entering into these Terms on behalf of a corporation or other legal entity, you represent and warrant that you are authorized to bind such entity to these Terms.

1. Eligibility and Authority

You represent and warrant that you:
(a) are at least 18 years of age;
(b) have the legal capacity to enter into binding contracts; and
(c) will use the Services in compliance with applicable laws, regulations, and these Terms.

2. Account Registration and Security

To access certain features, you must create an account (“Account”). You agree to:
(a) provide accurate and complete registration information;
(b) maintain the confidentiality of your login credentials; and
(c) accept full responsibility for all activities occurring under your Account.

Searchify.IO reserves the right to suspend or terminate any Account for violations of these Terms or improper use of the Services.

3. Grant of License

Subject to compliance with these Terms and payment of applicable fees, Searchify.IO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes.

No other rights are granted, whether expressly, by implication, or by estoppel.

4. Restrictions on Use

You shall not, directly or indirectly:
(a) copy, modify, distribute, or create derivative works of the Services;
(b) reverse engineer, decompile, attempt to derive source code, or extract underlying algorithms;
(c) resell, lease, sublicense, or provide access to the Services to any third party;
(d) use the Services to develop competing products or services;
(e) circumvent or attempt to circumvent usage limits, access controls, or security measures;
(f) engage in automated data extraction, scraping, or harvesting except as expressly permitted;
(g) introduce malware, harmful code, or otherwise interfere with the integrity or performance of the Services.

Violation of this section may result in immediate termination without notice.

5. Subscription Fees, Billing, and Payment Terms

5.1 Fees
Use of certain features requires payment of subscription fees. All fees are due in advance and are non-refundable except where required by law.

5.2 Billing Authorization
By subscribing, you authorize Searchify.IO and its payment processors to charge your designated payment method for all applicable fees, including recurring charges.

5.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless cancelled in accordance with Section 5.4.

5.4 Cancellation
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds will be issued for partial periods.

5.5 Changes to Fees
Searchify.IO may modify subscription fees, with reasonable notice where legally required.

6. Modifications to the Services

Searchify.IO reserves the right to enhance, modify, suspend, or discontinue any portion of the Services at any time. Searchify.IO shall not be liable for any resulting loss or impact on the Customer’s business.

7. User Content

“User Content” includes any data, files, URLs, text, configurations, or materials submitted to or generated through the Services.

You retain ownership of your User Content. You grant Searchify.IO a worldwide, non-exclusive, royalty-free license to host, process, store, transmit, and analyze User Content for the purpose of providing, maintaining, securing, and improving the Services.

You represent and warrant that you have all rights necessary to submit User Content and that User Content does not violate any laws or third-party rights.

8. Intellectual Property Rights

All intellectual property rights in the Services, including software, interfaces, algorithms, databases, documentation, and trademarks, are owned exclusively by Searchify.IO or its licensors.

No rights are granted to you other than those expressly set forth in these Terms.

9. API Terms (if applicable)

API access is subject to:
(a) usage limits,
(b) authentication requirements,
(c) permitted-use policies, and
(d) potential suspension for abusive or excessive activity.

10. Prohibited Conduct

You agree not to use the Services in any manner that:
(a) violates any applicable law;
(b) infringes upon third-party rights;
(c) interferes with network or system integrity; or
(d) attempts to evade billing or usage restrictions.

11. Third-Party Integrations

The Services may integrate with third-party platforms. Searchify.IO is not responsible for the content, availability, data handling, or functionality of third-party services, and access is at your own risk.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
SEARCHIFY.IO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA.

13. Client Responsibilities and Actions Beyond Company Control

The Customer acknowledges and agrees that Searchify.IO is not responsible for, and shall bear no liability arising from, any actions, decisions, configurations, implementations, or omissions taken by the Customer beyond the scope of the Services provided by Searchify.IO. This includes, without limitation:

(a) modifications to the Customer’s website, systems, or technical infrastructure;
(b) product, pricing, or service changes;
(c) sales processes, customer interactions, or operational decisions;
(d) third-party contractors, agencies, or service providers engaged by the Customer;
(e) the Customer’s failure to implement recommendations or industry best practices.

Any adverse impact on performance, analytics, rankings, or marketing results caused by Customer-side actions is solely the responsibility of the Customer.

14. No Financial Guarantees or Responsibility for Marketing Outcomes

The Customer expressly acknowledges that Searchify.IO does not guarantee any specific financial or business outcome, including increased revenue, profit, sales, leads, rankings, conversions, or campaign performance.

Marketing outcomes are inherently subject to external variables beyond Searchify.IO’s control, including market conditions, competition, algorithm changes, consumer behavior, and Customer implementation.

Accordingly, Searchify.IO shall not be liable for, and assumes no financial responsibility for:

(a) lost profits;
(b) loss of revenue;
(c) business interruption;
(d) diminished performance;
(e) or any direct, indirect, incidental, consequential, or special damages arising from the Customer’s use of the Services or from marketing outcomes.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) SEARCHIFY.IO’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO SEARCHIFY.IO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY;
(b) IF THE CUSTOMER HAS NOT PAID ANY FEES (E.G., TRIAL OR FREE USE), SEARCHIFY.IO’S LIABILITY SHALL BE ZERO;
(c) SEARCHIFY.IO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

These limitations apply regardless of theory of liability.

16. Indemnification

The Customer agrees to indemnify, defend, and hold harmless Searchify.IO and its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to:

(a) the Customer’s use of the Services;
(b) User Content;
(c) violation of these Terms; or
(d) infringement of third-party rights.

17. Termination

Searchify.IO may suspend or terminate access to the Services at any time for violations of these Terms, misuse, legal compliance requirements, or security risks.
Upon termination:

(a) all rights granted under these Terms cease immediately;
(b) the Customer must cease all use of the Services; and
(c) outstanding payment obligations remain payable.

No refunds will be issued upon termination.

18. Governing Law and Jurisdiction

These Terms are governed exclusively by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Any dispute shall be brought solely in the courts located in Calgary, Alberta.

19. Amendments

Searchify.IO may update or modify these Terms at any time. Continued use of the Services after such modifications constitutes acceptance of the updated Terms.
